**About the role**
Reporting to the Chief Financial Officer and Company Secretary and working as part of a collaborative legal team, the Assistant Company Secretary provides high quality, efficient and effective company secretary support, advice and management to the Chairperson and Company Secretary.

**Job type**
- Full time - Hybrid 3 days working in the office
- Or Permanent part-time, 3 or 4 days a week

**Requirements**:
**MAIN DUTIES/RESPONSIBILITIES**:

- Partner with the Company Secretary to ensure seamless provision of CoSec support to the Board.
- Assist the Company Secretary with the review and updating of the Company’s delegated authority framework when required
- Provide accurate and relevant information and advice to directors to assist them in performance of their role and execution of their duties
- Assistance with maintaining registers, reviewing regulatory authority correspondence within the EMS
- Oversee annual review including solvency declaration, statutory fee payment and discrepancy reporting
- Action Board appointments and resignations and other officer/committee member/entity
- Maintain the Board and Committee calendars and planners, ensuring key tasks are completed on time.
- Support the preparation and running of the Annual General Meeting
- Set annual Board and subcommittee meeting calendar and manage invites
- Facilitate the end-to-end Board and committee meeting processes, including preparation and distribution of Board and Committee packs and assisting the business in preparing submissions to the Board
- Ensure successful delivery of all Board meetings including conduct of meetings, ensuring all decisions are accurately recorded in meeting minutes
- Undertake appropriate post-meeting actions to ensure implementation of matters arising from meetings
- Assistance in coordinating the administration of the electronic board portal (Diligent) as well maintaining board related planners, schedules, databases and other tracking tools as required
- Creating and maintain procedures and update templates for company secretarial documentation

**SKILLS & EXPERIENCE**
Qualifications:

- A bachelor’s degree in business, law, accounting, or public administration
- Qualifications from the Governance Institute of Australia or the willingness to obtain them.

**Experience**:

- Experience in an Assistant Company Secretary role or a similar role

- Strong communication, consultation, and facilitation skills.
- Planning and organizing effectively to ensure that work is completed efficiently.
- Ability to manage one’s time and resources to ensure that work is completed efficiently.
