Following the recent announcement of Mirvac’s growth in wholesale office funds management, we are excited to advertise a number of opportunities to support our expansion.
The Company Secretary works closely with the Group Company Secretary and Deputy Group Company Secretary to deliver professional governance advice and support to a portfolio of entities in Mirvac’s funds management business. This role has primary responsibility as secretary of the Trustee Board of Mirvac Capital Wholesale Office Fund I and II (MWOF) which is comprised of a majority of independent Directors, the sub-trustee Board/s and the MWOF Funds Team. Partnering with internal and external stakeholders, the Company Secretary works proactively to continually improve corporate governance practices across all areas of responsibility.
**Key responsibilities include**:
Mirvac Wholesale Office Fund
With oversight of the Deputy Group Company Secretary, provides best practice governance support in accordance with regulatory and legal requirements, internal policies and procedures, including:
Managing the Trustee Board of MWOF and any Board Committee,
Managing the sub-trustee Board/s,
Partnering with the MWOF Funds Team
Managing the relevant regulatory obligations for which the role is responsible
Corporate Governance
Implementing consistent and compliant corporate governance strategies, including:
Maintaining corporate records, to ensure they are to an accurate and consistent standard in the Group’s entity management software;
Identifying continuous improvements to the maintenance of corporate records and seeking ways to maximise use and efficiency of the Group’s technology platforms and software; and
Proactively working with internal teams to establish and implement systems to ensure decision making by boards and committees is in accordance with regulatory, legal and internal policy requirements.
Operations and Productivity
Continuously driving process improvements and innovation to reduce costs and create efficiencies;
Establishing companies and trusts as required in accordance with policies and procedures; and
Assisting with the delivery of any training programs to improve corporate governance processes and procedures.
Compliance and Risk management
Proactively identifying operational risks in all areas of responsibility and implementing effective controls and processes; and
Working closely with Group Compliance to respond to external and internal audit requests in a timely manner.
Engagement and Brand Building
Role modelling a strong team player culture and positive brand for the Secretariat team; and
Providing best practice, accurate and timely support and advice to key customers.
