Corporate & Commercial Attorney - Senior Associate/Special Counsel

HWL Ebsworth is seeking a skilled Corporate & Commercial Attorney to join our Norwest practice. As a senior associate or special counsel, you will work closely with partners Brendon Noney and Matthew Rowe on an exciting mix of private treaty M&A, general commercial advice, franchisor representation, strategic advice, and corporate governance work.
This is an excellent opportunity to work on matters involving government, publicly listed local and foreign companies, medium-sized businesses, family-owned enterprises, and emerging organizations that make up our prominent client base.
Key Responsibilities- Private M&A transactions (with a balanced mix of buy-side and sell-side mandates).
- Advising clients on structuring and documenting various commercial arrangements.
- Transactional and general commercial work for high-profile franchisor clients and IP, Technology, and Media clients.
- Providing corporate governance and director duties advice.
- Assisting with business setup, structuring, shareholder agreements, and related documentation.
- Proven corporate advisory experience (including M&A and general corporate/commercial) from a reputable law firm background.
- A driven individual with a great attitude towards work and life.
- Familiarity with procurement, supply, and distribution agreements.
- PPSR experience preferred but not essential.
- IP/IT experience preferred but not essential.
- Franchisor work experience preferred but not essential.
- Strong strategic and critical thinking capabilities.

We offer a competitive salary package in line with industry standards, ranging from $120,000 to $180,000 per annum, depending on experience.
