We are seeking a seasoned corporate counsel to play a key role in shaping strategic initiatives and governance frameworks within our fast-paced, listed environment.
As a senior corporate lawyer, you will partner closely with a high-calibre leadership team to deliver commercially focused legal support across transactions, governance, contracts, and regulatory matters.
This is an opportunity for you to broaden your scope and influence while working in a collaborative culture that values integrity, initiative, and practical solutions.
Key Responsibilities- Provide end-to-end legal support on corporate transactions, including acquisitions, divestments, capital initiatives, joint ventures, and shareholder matters.
- Advise on directors' duties, corporate structures, and ASX disclosure obligations, partnering closely with the Company Secretariat, Finance, and Strategy teams.
- Draft, negotiate, and review a range of corporate and commercial agreements, balancing legal risk with business objectives.
- Contribute to Board and committee reporting on governance and regulatory issues, ensuring compliance with ASX Listing Rules and governance standards.
- Assist with key projects such as policy development, the annual general meeting, and investor engagement initiatives.
- A minimum of 6 years PQE in corporate law, with solid grounding in M&A and corporate governance from either private practice or a listed in-house environment.
- A strong working knowledge of the Corporations Act and ASX Listing Rules.
- The ability to distil complex legal issues into clear, commercially pragmatic advice for senior executives.
- A collaborative approach with a knack for building trusted relationships across the business.
