This longstanding Not-For-Profit organisation has been proudly serving Australia for over 110 years, supporting thousands of veterans and older Australians across a range of aged care, community and retirement living services.
**Your new role**
We are searching for a highly experienced Company Secretary to provide governance expertise to the Board, CEO and Executive.
Some Key Accountabilities:
- Ensure the organisation complies with its statutory obligations in accordance with relevant legislation and regulations
- Advise on director's duties, relevant provisions of the Corporations Act and ACNC Act, as well as requirements pursuant to the organisation's Constitution
- Ensure the timely completion and distribution of Board and Committee papers, agendas and notices
- Coordination of and attendance at Board and Committee meetings and the AGM
- Preparation of accurate minutes
- Maintain relevant registers and attend to all statutory and regulatory lodgements (e.g. ACNC and ASIC forms, financial statements and annual report)
- Assist with inductions of Directors, remuneration matters and Board evaluations
- Develop, implement, communicate and maintain governance compliance policies, processes and procedures
- Organising directors’ & officers’ (D&O) insurance
- Perform other duties related to the corporate administration of the organisation
**What you'll need to succeed**
You will be an accomplished Company Secretary with at least 5 years' experience leading the Company Secretary function in another large complex organisation, with previous experience in the Not-For-Profit sector.
You will also have:
- a collaborative, pragmatic approach to managing and influencing the needs and expectations of multiple stakeholders, which will be key to your success in this position
- an excellent understanding of the company secretariat function and associated technical skills with a strategic approach
- a ‘positive can-do’ attitude, be proactive, efficient and able to work autonomously but also work effectively as part of a cohesive executive team
- the ability to influence and build trust and have demonstrable sound judgement ability
- superior written and verbal communication skills with the ability to communicate confidently with people in a range of positions
- highly developed organisation, planning and record management skills
- the ability to work under pressure with tight deadlines
