**About the Role**
Our Commercial Manager will support legal and operational functions. You will draw on a strong understanding of business law and operations to provide advice and manage areas related to contract management, regulatory requirements, supplier management and governance. As our business expands locally and globally, this role will be pivotal to ensure we are able to scale our operations and move into the next phase of our growth.

**Responsibilities**
Legal, Administration & Operations
- Contract Management: Legal review and negotiation of business contracts such as NDAs, software licence agreements, reseller agreements and supplier agreements. Maintain and review existing suite of template agreements. Review and approve customer edits on our agreements, and ensure appropriate filing and databasing all contracts.
- Data Privacy Compliance: Working with our UK & USA legal advisors, manage compliance with UK and EU GDPR and USA regulatory compliance requirements. Working with the Fivecast product and tradecraft teams establish and implement the required data privacy policies, procedures and security measures
- EULA: Maintain and review Fivecast end-user licence agreement (EULA)
- ESOP: Manage our employee share option program grants, updating Carta (platform), ASIC and issuing equity document.
- Supplier management: Working with the Fivecast product management team engage with potential suppliers to understand their product, undertake trials, review NDAs/commercial agreements, and negotiate deals and pricing models.
- Regulatory compliance: Assist the Company Secretary with required company disclosures to ASIC
- Corporate governance: As needed, assist Company Secretary with Circular Resolutions
- IP management - Work with our patent attorneys, CEO, product management and marketing teams to establish and deliver an IP strategy encompassing Patents and Trademarks.
Sales Operations
- Customer Relationship Management (CRM): update and maintain dashboards and reports in Hubspot for use by the business across sales, finance, and customer success
- Proposals: Establish and maintain commercial proposal templates for use by the sales team
- Pricing: Work with Product Managers to update and maintain the Fivecast Product Pricing Spreadsheet
- Bid RFx Management Process: Working with the Fivecast sales and product teams formalise the go/no go decision process and manage all bid processes. Establish and maintain appropriate commercial focused tender templates.
**Required skills and experience**
- Australian citizen
- Bachelor or Master’s degrees in Law, Business, MBA, JD, or equivalent
- 10+ year experience in business operations, administration, compliance, finance, legal or similar areas
- Highly organised, proactive with the ability to be self-motivated and work with a high level of autonomy
- Excellent communication skills, both written and verbal, with the ability to collaborate effectively with cross-functional teams
- Strong stakeholder management skills, being able to ensure the right teams are up to date on your work progress and timelines
- Working with defence and government clients
- Helping a business scale globally in USA and EMEA
- Experience in a growing, scale up phase technology company
