Position Overview

The Assistant Company Secretary is a new appointment to the Tamboran team. The ideal candidate will have demonstrated capabilities gained from working within a mid or top-tier environment and is looking to make the transition to a dynamic and growing international company. The candidate will be knowledgeable in the energy industry in Australia, with a general understanding of good corporate governance. The role will have responsibilities for general secretarial matters related to all legal aspects regarding the day-to-day operations of an oil and gas company, and its subsidiaries, and will provide company secretary and governance support to the General Counsel & Company Secretary, the Legal Team, CEO, and Board from time-to-time.

Roles and Responsibilities

  • This role will be responsible for compliance activities, including:
  • Maintaining a registered office and notifying ASIC of all relevant changes;
  • Lodging financial reports with ASIC
  • Assist General Counsel & Company Secretary with managing Board Charters, Company Policies and processes,
  • Assist in distribution of Board and Committee papers, agendas, minutes, discussion papers, and proposals;
  • Prepare and organize packs for Board and Sub-committee meetings, ensuring consistency, clarity, and high-quality materials;
  • Ensure committee meetings are properly called and held in accordance with each committees Charter;
  • Ensure necessary registers are established and properly maintained;
  • Ensure records of Board meetings are kept in compliance with the relevant legislation and the Company's ByLaws;
  • Ensure the Company complies with its statutory obligations, ensuring requirements of ASIC and other regulators are met, including continuous disclosure;
  • Review and edit contracts, documents, and other legal agreements as requested;
  • Assist with planning and preparation for annual and special meetings;
  • Assist in reviewing and coordinating incoming legal invoices for approval and payment;
  • Remain informed on regulatory developments and issues/changes that may affect the business and ensure compliance at all times; and
  • Assist with other special projects as directed.

Preferred Minimum Candidate Requirements:

  • Graduate qualification in commerce, business, governance, or legal studies.
  • 3+years' experience supporting a Company Secretary, acting as a paralegal or in a compliance/regulatory role with an publically listed company, (energy industry experience desirable).
  • Self starter who is successful working autonomously as well as in a fast paced group
  • Demonstrated ability to partner with internal and external stakeholders and outside legal entities to manage and deliver outcomes
  • Highly developed ability to manage multiple tasks and to manage time effectively and to meet tight deadlines while maintaining work quality
  • Highly detail oriented with a meticulous approach to follow through
  • Proficient using Microsoft Office (Word) software, including PowerPoint
  • Excellent collaboration and diplomatic skills, including discretion in dealing with confidential and sensitive matters
  • Advanced communication skills (written, verbal, and listening) and interpersonal skills to develop effective relationships and manage competing priorities and instructions
  • Advanced level computer skills, particularly in Microsoft Office Suite and PowerPoint
  • This position will support an international company with business in Australia and the US, and therefore will require working hours as needed to support both country time zones
