About this role
The Company Secretary will support the Board of CALI and the CEO by providing advice regarding the corporate governance environment, maintaining corporate records and ensuring the timely lodgment of forms and other materials to ASIC.
The role is responsible for maintaining all required CALI insurances, including Workers Compensation in relevant states, associations liability insurance, public liability insurance and cyber insurance.
The role requires attention to detail and adherence to regulatory timetables.
The role will receive information that may be personal, commercial-in-confidence or subject to legal privilege and the Company Secretary is expected to maintain all such information to the highest standards of confidentiality.
The role is classified as a casual position,
and the expected number of hours is up to 20hrs/month.
Key responsibilitie
s
- Support the strategic priorities of CALI.
- Work collaboratively with the CEO and Business Manager to ensure Board papers are issued on a timely basis, attend Board meetings and prepare minutes.
- Issue Notice of Meetings to all members, in accordance with the Constitution.
- Prepare governance reports, written resolutions and comply with AGM notice and agenda requirements.
- Monitor corporate governance and ensure regulatory compliance.
- Maintain company policies register and manage policy review cycles.
- Maintain corporate governance records – ASIC registers, Minutes of Board and Company meetings, members register.
- Maintain the compliance register and the risk register.
- Liaise with CALI's insurance broker and maintain CALI's insurances.
- Other duties as required.
Essential criteria
Your application must address the following essential criteria:
- Experience (approx 3+ years) in Company Secretarial role(s).
- Possess appropriate qualifications (e.g. Governance Institute of Australia, Solicitor Admitted to Practice, CA ANZ, CPA).
- Excellent writing and editing skills for preparation of Board papers and minutes.
- Demonstrated organisational, time management and planning skills and the proven ability to work independently.
- Demonstrated ability to work collaboratively with colleagues and individuals or teams across multiple stakeholder networks.
