As Senior Counsel, you'll deliver expert legal support on major battery energy storage system (BESS) projects through to Final Investment Decision/Financial Close. Operating autonomously and partnering with a Senior Associate, you'll negotiate and finalise offtake, connection, balance of plant, equipment supply, land, and finance agreements - ensuring alignment with Akaysha's risk appetite, business needs, and governance standards. You'll be engaged for your technical depth and ability to lead and project manage both internal and external stakeholders, including external counsel, on complex legal matters within the contract period

What You'll Be Doing

  • Lead and independently negotiate complex, high-value project and finance agreements for BESS projects from initiation through to approval and execution, resolving negotiation impasses and ensuring all agreements align with Akaysha's risk and commercial objectives and comply with legal and risk management standards.
  • Provide legal support on project financing for allocated projects, including reviewing and negotiating finance instruments and tripartite agreements under supervision, delivering legal sign-off on lender requirements and due diligence outputs, and escalating to the General Manager Legal, Financing and Corporate as needed, while proactively addressing legal risks in financing structures to support project and business goals.
  • Oversee legal approval processes and act as the escalation point for governance issues, monitoring legal spend against budgets for external counsel, ensuring optimal resource allocation, and maintaining accountability for compliance with all internal and external legal requirements throughout project delivery.
  • Deliver expert legal and strategic advice on complex issues as the primary escalation point for project legal matters, uphold all required certifications, and demonstrate ongoing commitment to professional excellence.
  • Lead engagement with senior internal and external stakeholders, provide legal guidance to support project milestones, drive and coordinate legal workstreams for timely delivery of legal inputs on critical decisions, and facilitate cross-functional collaboration to resolve complex legal challenges and advance business objectives.

What You'll Bring
Complex Contract Structuring

  • Proven ability to independently structure and negotiate complex project and finance agreements (such as EPC, OEM, offtake, connection, and tripartite agreements).
  • Demonstrated experience balancing legal risk, commercial drivers, and project objectives in contract development.

Legal Risk Allocation & Mitigation

  • Expertise in identifying, allocating, and mitigating legal risks throughout the project lifecycle, including development, financing, delivery, and operations.
  • Track record of implementing strategies to address and manage legal risk in large-scale energy projects.

Project Finance Legal Execution

  • Strong experience executing legal aspects of project finance transactions, including lender negotiations and due diligence processes.
  • Ability to align finance instruments and documentation with overall project requirements and objectives.

Regulatory Interpretation & Application

  • In-depth knowledge of interpreting and applying complex regulatory frameworks across multiple jurisdictions.
  • Demonstrated ability to guide compliance strategies and inform operational decisions based on regulatory requirements.

Governance Framework Implementation

  • Experience embedding legal governance structures within project and corporate workflows.
  • Proven capability ensuring alignment with internal approval processes and external legal obligations.

Senior Stakeholder Engagement

  • Demonstrated ability to provide expert legal advice and lead negotiations with senior internal and external stakeholders.
  • Experience supporting project milestones and resolving complex legal and commercial issues through effective stakeholder engagement.
