About the Role

Lendlease is seeking an experienced Corporate Governance Specialist to provide company secretariat and governance support to our Australian businesses, including our Investment Management business unit, ensuring corporate governance procedures are met.

The Corporate Governance Specialist will be part of a highly collaborative and supportive Lendlease Secretariat team. The role will involve developing positive and productive working relationships with the Secretariat team, internal stakeholders from the relevant business functions, and external stakeholders (including external Board and committee members, auditors, external service providers etc.).

The key responsibilities of this role will include:

  • Meeting and Minute Management: Organisation of and attending Board and committee meetings, and preparation of minutes of meeting.
  • Circular Resolutions: Preparing and tracking of circular resolutions.
  • Entity Management: Management of companies and trusts generally, and provision of information about entities, as required.
  • Board and Committee Support: Supporting the efficient functioning and running of Board and committee meetings, including the management of calendars, workplans, meeting arrangements and logistics.
  • Regulatory Compliance: Ensuring that ASIC filings and reporting obligations are met and within the prescribed time.
  • Policy and Procedure Management: Maintaining and updating Board and committee charters.
  • Corporate Records: Maintaining structure and corporate records.
  • Entity Incorporation: Incorporating companies and trusts, as required.
  • Business Name Registration: Administration of business name registrations.

To be successful in this role, you will be tertiary qualified in Business, Law or Commerce along with post graduate company secretarial qualification. You will have at least 5 years' company secretarial experience working within a large organisation. Excellent problem-solving skills and the ability to manage expectations, influence and build relationships with key stakeholders will be crucial.
