About the Role

We are seeking a highly skilled and experienced Corporate Governance Specialist to join our team at Perpetual. As an Assistant Company Secretary, you will play a critical role in ensuring good governance and supporting the effectiveness of our corporate governance framework.

Key Responsibilities
  • Draft Board papers in conjunction with the Company Secretary in preparation of Board meetings.
  • Draft Board meeting minutes and action items.
  • Follow up on outstanding action items and liaise with internal and external stakeholders.
  • Assist with the preparation of shareholders' meeting agendas, chairman script, minutes and action summaries.
  • Coordinate and lodge forms with ASIC for changes of Company details.
  • Assist with drafting documents for compliance with ASX Listing Rules.
Requirements
  • Graduate qualification in commerce, business, governance, or law.
  • Associate or Fellow of Governance Institute of Australia.
  • Outstanding organisational skills, including ability to set priorities and pursue tasks to completion within deadlines.
  • Outstanding stakeholder management and communications skills.
  • Advanced computer and document control knowledge and experience.
  • Experience with electronic board, share registry and regulatory portals.
  • High degree of diplomacy and discretion and be able to maintain confidentiality.
  • Knowledge of ASX Listing Rules' requirements is highly regarded.
