About the Role

Cochlear is seeking a highly skilled Corporate Governance Specialist to join our team in Sydney. As a key member of our legal department, you will play a crucial role in advising on and implementing processes, policies, and initiatives that align with best practice corporate governance standards.

Key Responsibilities:

  • Provide expert corporate advisory advice to the Board and senior leadership team.
  • Support the effective planning and management of Board business, including preparing agendas and minutes.
  • Manage corporate filings and ensure timely lodgement of statutory documents.
  • Facilitate compliance with the Share Trading Policy and Continuous Disclosure Policy.
  • Partner with our P&C Rewards team to support the management of Employee and Executive Equity Plans.
  • Proactively identify legal developments and advise relevant stakeholders.

Requirements:

  • Legal Practicing Certificate in Australia.
  • 7+ years post-qualification experience, ideally with top-tier law firm experience or in-house at an ASX listed company.
  • Ability to work autonomously and cross-functionally with teams such as Finance and People & Culture.
  • Ability to provide commercially focused legal support.
  • Strong drafting and research skills.
  • Excellent knowledge of corporate law and ASX Listing Rules.
  • Ability to manage competing priorities and deliver commercially focused legal support.
  • Excellent interpersonal, communication, drafting, and negotiation skills.
  • Exceptional business judgment and analytical skills.
  • Ability to uphold and demonstrate the highest level of integrity and recognize standards required by a regulated business.
