Job Title: Assistant Company Secretary

 

This role offers a unique opportunity to join a highly regarded company secretariat team within a financial services organisation that continues to experience significant growth driven by joint ventures, partnerships, and innovative products.

As an Assistant Company Secretary, you will deliver high-quality company secretarial and corporate governance support, ensuring Board and Committee processes run smoothly and efficiently. This position is well suited to someone with strong operational company secretariat and governance experience gained in a complex, regulated environment.

Key Responsibilities:

  • Support the Company Secretary in the delivery of company secretarial services for the Board, Audit, Risk, People, Culture & Remuneration, and Nominations Committees, as well as internal Executive Committees.
  • Prepare agendas, communicate Board paper requirements and deadlines, and review papers prior to submission to the CEO.
  • Attend meetings as required and record minutes and actions.
  • Maintain the annual calendar of Board and Committee meetings and track actions throughout the year.
  • Review Board and Committee charters.
  • Coordinate Director inductions and arrange governance briefings.
  • Maintain registers and records related to the Board and Directors, monitor Directors' standing interests and share trading, and prepare associated reporting.
  • Assist with the Annual Report, Corporate Governance Statement, Notice of Meeting, and governance aspects of the AGM.
  • Provide advice on corporate governance best practice and help maintain an effective governance framework, including developing charters, policies, and procedures.
  • Prepare and lodge accurate and timely regulatory filings, including ASX lodgements and ASIC submissions.

 

Qualifications & Skills:

  • Minimum 2 years' experience in a corporate secretariat role, with solid knowledge of ASX Listing Rules, ASIC compliance, and the Corporations Act.
  • Proficient in Diligent Boards, with experience managing online platforms such as ASX Online, Diligent Entities, and proxy governance portals.
  • Strong organisational skills, attention to detail, and the ability to manage competing priorities.
