About the Role

We are seeking a dedicated and detail-oriented Board Coordinator and Practice Assistant to support our Senior Company Secretaries. This role is ideal for an aspiring governance practitioner who will provide all-round support to the Company Matters team across a diverse range of operational tasks. This includes board coordination duties, general administration assistance, office management, and company secretarial support.

Key Responsibilities

Company Secretarial Administration and Board Coordination

  • Compile board papers and prepare for board meetings on behalf of practitioners.
  • Assist with company secretarial reports, draft minutes, research new regulations, draft announcements, and documents for regulators, and undertake register searches.
  • Maintain various clients' statutory registers and provide local agent services.
  • Incorporate entities in accordance with the Corporations Act.
  • Register foreign entities in accordance with the Corporations Act and manage the foreign entities registration database.
  • Ensure compliance for clients with foreign entities.
  • Complete and lodge forms with regulators such as ASIC, ATO, OSR, DFT, and ASX.
  • Prepare initial drafts of advices, charters, notices, and constitutions.

Practice Assistant

  • General office management, including answering phones and emails, allocating calls, monitoring mail, and maintaining office supplies.
  • Manage time recording and debtors and liaise with the MUFG Pension & Market Services Group Accounts Department.

Experience and Skills

  • Experience with electronic record keeping and electronic Board Paper portals (e.g., Diligent Boardbooks).
  • Tertiary education.
  • Experience in an ASX-listed company secretarial or legal/finance role.
  • Experience working in governance.
  • ASIC knowledge is essential.
  • Ability to prioritize, work well under pressure, and exercise independent judgment.
  • Meticulous attention to detail.
