Role
This growing and dynamic professional services firm is seeking an experienced Company Secretary with both ASX Listed and unlisted company experience to join a team of professionals to assist our clients and become a trusted advisor.
Specialising in the provision of outsourced accounting and company secretarial functions to a number of ASX Listed and unlisted entities in the resources, biotechnology, investment, food and medical device sectors, we offer attractive remuneration, professional development and career advancement.
Reporting to the Director of the firm and directly to your clients, the successful candidate will be responsible for managing a portfolio of ASX Listed and unlisted clients to ensure compliance with ASX listing rules and the Corporations Act.
Job Description
The role provides the benefit of working in a professional services environment whilst also having exposure to working in industry with a range of clients. The role provides for flexible/hybrid working arrangements whilst also being able to learn and collaborate with your peers effectively.
As a trusted partner to our clients, the ideal candidate will possess the requisite knowledge to undertake the following functions:
- Preparation of Prospectus' and offer documents
- Drafting of agreements
- Day to day management of ASX Listed and unlisted Company Secretarial functions and governance matters
- Preparation of agendas, board papers, meeting minutes and circular resolutions
- Provide accurate and concise advice on ASIC governance requirements and ASX listing rules
- Preparation of share and security issues (including performance rights, convertible notes and options)
- Preparation of all ASX reporting requirements forms
- Liaising with share registries on all Company Secretarial matters
- Maintenance of statutory records for the Group's entities and all subsidiaries including preparation and lodgement of ASIC forms
- Preparation of Corporate Governance Documents
- Management of clients' Annual General Meetings and General Meetings
You will develop strong relationships with key stakeholders throughout the business. The successful candidate will be highly motivated and focused.
To be successful in this role we expect you will have:
- Minimum 3-5 years' ASX Listed and unlisted company secretarial experience
- Excellent accuracy and attention to detail and organisational skills
- Assertive and confident team player
- Effective time management skills
- Willingness to learn a range of different systems and processes whilst also implementing your own as required
- Exceptional communication skills and an ability to communicate with your peers and external stakeholders
- Strong commitment to confidentiality, producing quality work, professionalism, literacy, grammar and punctuality.
