Teachers Mutual Bank Limited (TMBL) is seeking a dynamic Assistant Company Secretary and Legal Officer to join our Legal and Governance team at a pivotal time in our growth journey.
This highly visible role offers the opportunity to work closely with our Board, Committees, and Executive team, providing critical support across governance, legal, and company secretarial functions. You'll be a trusted advisor and key liaison between Directors, Executives, regulators, and stakeholders—contributing to strong governance, regulatory compliance, and effective decision-making.
Key Responsibilities
- Administer end-to-end Board and Committee processes, including agenda planning, meeting packs, and minute-taking.
- Act as Secretary for Bank entities (as required), ensuring compliance with the Corporations Act, APRA, ASIC, and other regulatory frameworks.
- Provide governance and administrative support to Directors and Executives, including travel, induction, and professional development.
- Prepare and lodge statutory filings with ASIC and APRA, including FAR updates.
- Support the Annual General Meeting and Director election processes.
- Offer legal insight into governance papers, Board minutes, and policy documentation.
- Lead or support governance projects and continuous improvement initiatives.
- Maintain company registers and statutory records with precision and confidentiality.
- Promote and model TMBL's values of passion, excellence, growth, and sustainability.
About You
You are a collaborative, detail-oriented professional with:
- Tertiary qualifications in Law and eligibility for admission as a legal practitioner in NSW (preferred).
- Minimum 5 years' experience in corporate governance, legal, or company secretarial roles.
- Strong knowledge of the Corporations Act, ASIC and APRA frameworks, and governance principles.
- Excellent written and verbal communication skills, with a passion for minute-taking and governance.
- High EQ and IQ, with the ability to manage sensitive information and confidently liaise with senior stakeholders.
- Experience with Diligent Board software (advantageous).
- A pragmatic, commercially astute mindset and dedication to strong member outcomes.
