ABOUT YFML
Yamatji Funds Management Limited (YFML) is a key governance entity within the Yamatji Nation Group of Entities. Established under the Yamatji Nation Indigenous Land Use Agreement (ILUA), YFML is responsible for:
· Acting as co-trustee and administering the Yamatji Nation Trust with the Licensed Trustee.
· Ensuring compliance with the ILUA and Trust Deed.
· Supporting intergenerational wealth management and ethical investment.
DIRECTOR POSITIONS PROSPECTIVELY BECOMING AVAILABLE
Appointments are for a four-year term, concluding at the fourth YFML Annual General Meeting (AGM) following election at the AGM on 10 November 2025. Directors may be eligible to stand for re-election at the expire of their initial 4-year term, subject to the Constitution and advice of the Nominations Committee.
At present, YFML has one (1) Non-Yamatji Nation Director whose continuing appointment is until the AGM 2029. YFML is now seeking expressions of interest to fill at least three (3) additional Director positions, at least one (1) of which must be a Yamatji Nation Director, ensuring overall compliance with the following requirements:
1. At all times there must be at least one (1) Director who is a Yamatji Nation Person and at least one (1) Director who is a Non-Yamatji Nation Person.
2. No person may be elected or appointed as a Director unless and until the Nominations Committee has provided written advice to the Board and the Members regarding the person's eligibility, skills, and attributes to be elected or appointed as a Director.
ELIGIBILITY OF DIRECTORS
As per the YFML Constitution, an individual is only eligible for appointment as a Director if they are:
1. At least 18 years of age;
2. An Australian resident;
3. Not disqualified from managing:
· Corporations under the Corporations Act 2001 (Cth) or the Corporations (Aboriginal and Torres Strait Islander) Act 2006 (Cth); or
·Incorporated associations under the Associations Incorporation Act 2015 (WA) or equivalent legislation in another Australian jurisdiction;
4. Not disqualified from being a responsible entity for the purposes of the ACNC Act;
5. Able to produce a National Police Clearance Certificate acceptable to the Board;
6. Not an employee of a YSRC Group Entity;
7. Free of commitments that could materially conflict with the role of a Director;
8. Independent (as defined under the Constitution); and
9. Not a director of another YSRC Group Entity.
Applicants must also provide background career and personal information on their skills, experience, and attributes to assist the Nominations Committee in assessing eligibility and suitability.
SKILLS, EXPERIENCE AND ATTRIBUTES OF DIRECTORS
In addition, when nominating and appointing Directors, regard must be given to the overall skills, experience and attributes required of the Board.
These include:
· An understanding of or relevant experience in the needs, opportunities, and evolving development of the Yamatji Nation.
· Relevant business, commercial, professional, financial, accounting, and governance experience, skills, and acumen.
· Special skills, experience and qualifications (desirably) in the management and/or governance of corporate trusts and/or inter-generational trusts.
· Experience in the governance and management of charitable organisations with requirements and complexity comparable to the Yamatji Nation Trust.
· Experience dealing with government and/or the public sector.
· Diversity of experience and perspective.
RESPONSIBILITIES OF YFML DIRECTORS
The role of YFML is a critical one within the ILUA and for the benefit of the Yamatji Nation. Directors of YFML, are expected to bring with them and share the benefit of their relevant skills, experience and attributes including:
· Keep abreast of relevant economic, financial and investment matters.
· Attend and actively participate in Board meetings.
· Provide strategic and risk-informed advice and insights in Board deliberations.
· Monitor compliance with the requirements of the ILUA, Yamatji Trust Deed and governance frameworks.
· Act honestly in good faith with due care, skill and diligence in the performance of their fiduciary duties.
· Provide challenge as part of Board deliberations within a culturally relevant framework of co-operative teamwork.
· Champion accountability, transparency, and cultural integrity.
