The Role
The objective of the Company Secretary is to facilitate the corporate governance processes and to hold primary responsibility for ensuring that the board processes run efficiently and effectively. This includes leading and developing a team of Governance professionals and overseeing governance processes for the Fund and acting as the Company Secretary for NGS Super Pty Limited (Trustee Company) and its subsidiaries.
**Key focus areas include**:
Notifying the directors in writing in advance of a meeting of the board as specified in the constitution.
Ensuring the agenda and board papers are prepared and forwarded to directors prior to the board meeting as set out in the board charter and any associated policies.
Recording, maintaining, and distributing the minutes of all board and board committee meetings as required.
Development, implementation, communication, and maintenance of Governance policies, processes, and procedures.
Ensuring all requirements of APRA, ASIC, the ATO, and any other regulatory body are fully met.
Providing counsel on corporate governance principles and director liability.
Maintaining the Register of Ongoing Conflicts of Interest as well as a register of Company Policies as approved by the board.
Maintaining, updating, and ensuring that all directors have an up-to-date copy of the Board Charter and associated governance documentation.
Manage any changes to the Company Constitution and Trust Deed.
Reporting at each board meeting the documents executed under a power of attorney, documents executed in accordance with s127 of the Corporations Act, and reporting on the use of the Seal Register.
Spokesperson as agreed with the CEO on regulatory matters.
Co-ordinate relevant responses either directly and/or through industry bodies of Fund’s views on regulatory change.
You have
Qualifications in law and a current practicing certificate.
Track record of experience in governance at a senior level.
Experience working leading risk and compliance functions.
Experience as a company secretary.
Current knowledge of the superannuation industry, regulation and legislative frameworks.
Clear evidence of leadership and superior management abilities.
High level proven communication skills.
Experience at servicing board and committees preferably in a superannuation environment.
Desirable
Ability to act as the Responsible Manager under the Responsible Superannuation Entity (RSE) licensing requirements.
