**The Opportunity**
In this newly created role, as the Board Governance Officer, you will provide strategic, high-quality, and timely governance services to multiple joint venture (JV) Boards within Medibank’s Health Services portfolio, Amplar Health.
This role has a mix of governance advisory and Board secretarial services to manage governance and corporate obligations across multiple JVs with which Medibank has a shareholding interest. Reporting to and providing secretariat and governance support to Head of Ambulatory Care Centres, you will also work closely with JV Board Chairs and JV management teams.
**Your responsibilities will include**:
- Company secretariat duties including preparing and managing agendas, papers, resolutions, and actions for multiple JV Board meetings / committee meetings;
- Advise the Board and its committees on statutory obligations, legal frameworks, polices, governance matters and support with risk management and corporate responsibility matters;
- Ensure the necessary registers are established and properly maintained;
- Use effective liaison, communication and interpersonal skills to build and maintain effective working relationships with internal and external stakeholders.
This is a fixed term contract for 12 months with the possibility of extending, available to work from home or one of our offices or combination of both
**About You**
Flexible and adaptive to change you have a solutions-orientated mindset and will bring a high level of attention to detail, a passion for Board secretarial and governance work and a ‘can do’ attitude the role. Additionally, you have:
- 5+ years of relevant experience working in a Company Secretary or Senior Manager with governance responsibilities capacity (or similar) and extensive experience working with senior management and Boards.
- Sound knowledge of the legislative framework surrounding the legal obligations of the role and Board positions on governance matters.
- Exceptional written communication skills, including the ability to:
- synthesise content from Board meetings and translate into accurate and concise minutes and action items
- prepare well-structured and accurate artefacts such as briefing notes, agenda papers and correspondence for relevant senior audiences
- Ability to act independently and provide commercially focussed governance advice.
Desirable
- Knowledge of/exposure to the administration of the private health sector, including standards and practices.
- Business qualifications, legal qualifications or Australian Institute of Company Director (AICD) qualifications.
