Job Overview

The role of Legal Counsel and Company Secretary involves providing accurate and timely legal advice and support to the Board.

Responsibilities
  • Provide legal guidance on commercial matters and Australian Consumer Law.
  • Support board agendas, papers, minutes, and meeting logistics.
  • Maintain accurate records of board resolutions, action items, and statutory registers.
  • Assist with ASIC filings and ensure compliance with governance and regulatory requirements.
  • Draft and maintain governance policies and procedures.
  • Liaise with Directors, Senior Management, and regulatory bodies on governance and compliance matters.
  • Support subsidiary governance, shareholder communications, and general meeting preparations.
  • Manage franchise agreements and acquisitions.
  • Provide administrative and corporate governance support.
Requirements

A commercial astute senior lawyer with at least 5 years' post-admission experience in a commercial/corporate environment is required. Tertiary qualification in law and holder of a current practicing certificate are essential. Demonstrated experience as a Company Secretary and ability to balance commercial and legal considerations to deliver practical solutions are also necessary. Franchising and acquisitions experience is preferred. Membership with the Australian Institute of Company Directors is highly valued. Strong interpersonal skills, strategic thinking, and commercial acumen are also required.
