Job Opportunity: Company Secretary and Governance Expert

Overview:

The position of Company Secretary and Governance Officer requires a highly skilled professional to oversee all governance matters, ensuring the company adheres to best practice corporate governance. The successful candidate will be responsible for administering compliance with the Corporations Act and other statutory obligations.

Key Responsibilities:

  • Execute all duties of a Company Secretary as required by the Company's Institution and Corporations Act;
  • Attend board meetings and perform minute taking and follow up of actions;
  • Prepare secretarial reports to the board regarding disclosures, changes in laws/regulations, and corporate governance;
  • Manage relationships with corporate entities and drive the operation of the Company's committees; AND
  • Liaise with internal and external stakeholders, including lawyers, accountants, and other professional advisors.

Requirements:

  • Essential tertiary qualifications within Law, Business, Commerce, or relevant field;
  • A Diploma in Applied Corporate Governance is highly advantageous;
  • Ideal candidate has 5-6 years' experience in a complex organisational structure, preferably as a Corporate Secretary;
  • Demonstrated understanding of legal and commercial requirements;
  • Solid stakeholder management and communication skills;
  • Ability to maintain confidentiality and discretion;
  • Proactive, able to show initiative and work autonomously;
  • Highly organised and detail oriented; AND
  • Strong capability to adapt quickly to changing priorities and operate effectively under pressure.
