Job Title:

Corporate Governance Specialist

We are seeking a highly skilled Corporate Governance Specialist to join our organization in Sydney. As a key member of our team, you will be responsible for ensuring the smooth operation of our non-advisory stockbroking company in Australia.

Key Responsibilities:

  • Ensure compliance with relevant corporate governance requirements and regulations.
  • Organize and attend board meetings and general meetings, preparing agendas, minutes, and resolutions.
  • Maintain accurate records of board decisions, policies, and legal documents.
  • Advise the board and senior management on corporate governance matters and best practices.
  • Stay updated on relevant laws, regulations, and industry standards.
  • Develop, implement, and maintain policies and procedures to ensure legal compliance.
  • Conduct internal audits to assess compliance with applicable laws and regulations.
  • Liaise with regulatory bodies and external legal counsel as required.
  • Review, draft, and negotiate contracts, agreements, and legal documents.
  • Provide legal advice and guidance to internal stakeholders on contractual matters.
  • Identify legal and regulatory risks and develop strategies to mitigate them.
  • Implement risk management processes and procedures.
  • Monitor legal and regulatory developments and advise management on potential impacts.

Requirements:

  • Bachelor's degree in law or a related field.
  • Qualified solicitor or barrister in Australia with a current practicing certificate.
  • Proven experience as a Company Secretary or Legal Officer in a corporate environment.
  • Strong knowledge of corporate governance, company law, and regulatory requirements.
  • Familiarity with the stockbroking industry and financial regulations is preferred.
