Job Overview

We are seeking an experienced Corporate Governance Specialist to support our in-house legal team. The role involves assisting with corporate governance requirements, including preparation of board agendas and papers, development and maintenance of governance policies and procedures, and document management.

Main Responsibilities
  • Support the General Counsel with company secretarial responsibilities, including:
  • Coordinating Board and Committee meetings, drafting Board and Audit & Risk Committee papers, ensuring efficient meeting conduct, and circulating resolutions.
  • Preparing the Corporate Governance Statement and Directors' Report for the Annual Report, managing ASIC lodgements, and maintaining registers of directors' interests and advisers.
  • Driving process improvements and efficiencies in the company secretariat function.
Required Skills and Qualifications
  • Degree qualified (Legal preferred) and member of the Governance Institute of Australia.
  • At least five years of experience supporting a board in a company secretary/governance function.
  • Excellent communication and interpersonal skills, ability to influence and build relationships at all levels.
  • Ability to manage conflicting deadlines and work efficiently in a small, collegial legal team.
