A seasoned company secretary is required to lead the governance of a prominent Property and Investment Manager. This strategic role involves ensuring seamless management of the listed Board and its subsidiaries, coordinating Board meetings, and maintaining critical statutory records.

Key Responsibilities

  • Evaluate and implement efficient governance frameworks for the main listed Board and its subsidiaries.
  • Develop and execute comprehensive agendas for Board meetings, ensuring timely delivery and coordination.
  • Attend and meticulously minute Board and Committee meetings, capturing essential details.
  • Maintain accurate and up-to-date statutory registers for all entities, guaranteeing compliance with regulatory requirements.
  • Ensure seamless maintenance of company records and regulatory submissions, leveraging advanced systems to optimize efficiency.
  • Verify and lodge financial accounts with ASX/ASIC within prescribed deadlines, guaranteeing adherence to regulatory standards.
  • Establish new subsidiaries and trusts, navigating complex structures to ensure seamless integration.
  • Assist in preparing annual directors' declarations and corporate governance statements, providing valuable insights into organizational performance.
  • Collaborate with the Head of Investor Relations and Company Secretary to prepare informative ASX announcements, enhancing stakeholder engagement.

About You

  • Possess a minimum 10 years' experience in company secretarial roles, with a strong understanding of listed entity governance frameworks and fund/trust structures.
  • Demonstrate exceptional organizational skills, coupled with attention to detail and excellent communication abilities.
  • Showcase proficiency in utilizing Diligent Boards and Entities, ensuring streamlined governance processes.
