Board Governance Expertise

As a Board Governance Expert, you will be responsible for implementing effective governance frameworks that promote legal and regulatory compliance. This involves collaborating with the board and executive leadership to ensure seamless alignment of strategies and goals.

Key Responsibilities:

  • Develop and implement governance policies and procedures that adhere to relevant laws and regulations.
  • Manage corporate records, policies, and charters to ensure full compliance with ASIC, APRA, and other regulatory bodies.
  • Coordinate core governance activities, including Director Elections, Annual General Meetings, and annual reporting, focusing on clear stakeholder communication.
  • Plan and execute Board and Committee meetings, ensuring smooth execution and effective information flow.

Requirements:

  • Bachelor of Law (or similar) degree and qualifications from the Governance Institute of Australia and/or AICD.
  • Specialized experience and knowledge in the Corporations Act and APRA prudential standards.
  • Demonstrated experience in a similar role working in a regulated environment.
  • Previous experience practicing as a corporate or financial services lawyer.
  • Proven expertise in overseeing and maintaining Group governance structures, including charters and key governance documents.
