1. Licensing & Regulatory Management
- Manage and oversee all company licensing and regulatory processes, including new license applications, renewals, amendments, and cancellations.
- Liaise with governmental authorities, ministries, regulatory agencies, and industry bodies to ensure timely and accurate submission of all required documentation.
- Monitor and interpret new laws, regulations, and policy changes that may impact the company’s licenses or regulatory standing.
- Maintain a comprehensive register of all company licenses and permits with validity dates and renewal timelines.
2. Legal Advisory
- Provide legal advice on corporate, regulatory, and administrative law matters affecting the company’s operations.
- Review and draft regulatory filings, correspondence, and memoranda related to licensing procedures and compliance audits.
- Advise management on potential legal risks related to non-compliance or delayed renewals.
- Support new business initiatives by identifying applicable legal and regulatory requirements before launch.
3. Corporate Governance & Documentation
- Prepare, review, and update company formation documents, corporate resolutions, and powers of attorney as needed for licensing and regulatory purposes.
- Draft, review, and negotiate a wide range of commercial contracts, including service agreements, supply contracts, NDAs, and MoUs.
- Ensure compliance with company law requirements (such as filings before the Companies Register or equivalent authorities).
- Support internal and external audits from regulatory authorities.
- Draft, review, and maintain corporate governance documents, including Board of Directors (BOD) resolutions, Extraordinary General Meeting (EGM) and Ordinary General Meeting (OGM) minutes and invitations.
- Ensure all corporate actions comply with the Companies Law and are properly documented and filed with the competent authorities.
- Prepare and review powers of attorney (POAs) and oversee their notarization, legalization.
- Coordinate with auditors, notaries, and external legal advisors for corporate filings and registrations.
4. Stakeholder & Government Relations
- Act as the company’s legal representative in communications and meetings with regulatory authorities.
- Coordinate with internal departments (Operations, Finance, Compliance, HR, etc.) to ensure all regulatory prerequisites are satisfied before submission.
- Build and maintain professional relationships with key government offices and external legal advisors.
5. Compliance & Reporting
- Develop and implement internal policies and procedures to ensure ongoing compliance with licensing and regulatory obligations.
- Prepare periodic compliance reports and updates for management and regulatory authorities.
- Provide internal training on legal and regulatory developments affecting the company’s operations.
Requirements
- Bachelor of Laws (LLB).
- Licensed to practice law in Egypt
- Minimum 1 year of experience in corporate, licensing, or regulatory law, ideally with energy or waste management sectors.
- Proven experience in drafting contracts, BOD and shareholders’ meeting documents (EGMs/OGMs), and dealing with regulatory authorities.
- Strong knowledge of corporate and commercial law, administrative law, and regulatory frameworks.
- Excellent legal drafting, communication, and negotiation skills in both English and Arabic.
- Deep understanding of corporate governance and regulatory compliance.
- Strong drafting and analytical skills.
- High attention to detail and organization.
- Ability to manage multiple legal and regulatory workflows under tight deadlines.
- Advise management and business units on contractual rights, obligations, and risk mitigation
