**Skills Sought**; The IDS Board is seeking Directors with a broad range of skills including Marketing, Communications, Digital Transformation, Legal, Governance, Strategic Planning.

IDS Inc. operates a skills-based board with each director bringing different skills that benefit the organisation at that point in time. The current board comprises six directors. IDS has undertaken a gap analysis on board skills and is seeking additional directors to complement the current Board to support our strategic goals.

**IDS key selection criteria**

To successfully undertake this role the applicant will have skills and/or experience in the following areas:
1. Knowledge of a director’s responsibilities - includes an understanding of the role as well as the legal, ethical, fiduciary and financial responsibilities;
2. Experience and knowledge in marketing, branding and communications with a keen interest in providing guidance on building digital strategy;
3. Experience and knowledge of legal requirements and commercial agreements

4. Strategic expertise - the ability to review IDS’s strategic position through constructive questioning and suggestion and contribute to the effective decision making of the board;
5. Knowledge of risk management frameworks

6. The ability to read and comprehend the organisation’s accounts, financial material presented to the board, financial reporting requirements and corporate finance;
In addition, the following skills and/or experience would be highly regarded

7. Knowledge and/or experience with the NDIS

8. Experience in a broad range of industry sectors and their associated networks; Has completed the Australian Institute of Company Directors (AICD) company directors course or

9. Prior Board experience and leadership capabilities,

10. Experience with the Disability sector including Lived experience.

**Commitments**

All meetings are held on a weekday during business hours, via a hybrid model of online and face-to-face meetings. The board meets 8 times per annum plus an annual Strategy day. It is anticipated the successful applicant will also participate in one of several sub committees; these are as follows: Executive, Finance, Risk & Audit, Governance and Client and Carers Engagement Group.
