You’ll work closely with the Group General Counsel & Company Secretary to support the Board and its Committees, ensuring full compliance with statutory and regulatory obligations. This role will involve frequent collaboration with the Executive Committee, CEO, and interactions across Orica's global regions and business functions.- To succeed in this role, you'll bring extensive experience in corporate governance or company secretarial roles, a sharp problem-solving mindset, and strong commercial, numeracy, and execution skills. - **Board and Committee Management**:
- Provide comprehensive oversight and management of Orica Limited Board and Board Committee meetings, including agenda setting, preparing and reviewing papers, attending Board and Committee meetings and preparing minutes.
- **Compliance and ASX Requirements**:
- Advise on specific disclosure matters in line with Corporations Act and ASX Listing Rules requirements.
- Oversee the preparation and submission of ASX releases to ensure regulatory compliance.
- **Share Dealing and Governance**:
- Ensure strict adherence to Orica’s share dealing policies by managing the Group Standard.
- Offer governance and regulatory advice to the Board, Committees, and senior management as needed.
- **External Reporting and Corporate Governance**:
- Manage external governance reporting, including the annual Corporate Governance Statement, Notice of AGM, and relevant disclosures in the Annual Report.
- Manage and advise on Orica Group governance documents (including the Orica Limited Board and Committee Terms of Reference, Group Policies and Orica’s delegations framework).
- **Subsidiary and Joint Venture Secretarial Support**:
- Act as Company Secretary and provide secretariat support for key AusPac subsidiaries and joint ventures.
- **Director Onboarding and Performance Review**:
- Lead the onboarding and induction process for new Directors, facilitating a smooth transition into their roles.
- Coordinate and manage the external Board Performance Review to ensure ongoing effectiveness.
- **Shareholder Relations**:
- Support the delivery of Orica’s Annual General Meeting.
- Serve as the primary liaison with the Share Registry.
**What you will bring**
- 10+ years of experience in a company secretarial or governance role, ready to bring their expertise to a dynamic environment.
- A relevant tertiary qualification in law is required, while a Chartered Secretary qualification (ACIS/FCIS) is highly desirable.
- Possess a deep understanding of corporate governance principles, statutory obligations, and regulatory requirements.
- Strong interpersonal and communication skills, with the ability to collaborate effectively with Board Members, executives, and external stakeholders.
- Proficient in Microsoft Office and company secretarial software, ensuring smooth and efficient workflow management.
