Cromwell is seeking a motivated Company Secretariat Administrator or Board Administrator to join our legal and secretariat team in the role of Assistant Company Secretary. As an Assistant Company Secretary, you will have exceptional attention to detail and written and verbal communication skills and strong time management skills. You will also be comfortable to work autonomously and as part of a high performing team.

About the Role
The Assistant Company Secretary is a permanent full-time position based in Brisbane.
Reporting to the Company Secretary and Senior Legal Counsel, you will provide secretariat services to internal stakeholders and provide a high level of support to the Company Secretary and Senior Legal Counsel in a fast-paced and friendly environment.
Key Responsibilities:
- Coordinate the organisation of and preparation for Board and Board Committee meetings.- Coordinate management reporting to Board and Board Committees.- Collate all necessary Board and Board Committee papers and organise timely dispatch to Directors prior to meetings.- Prepare and manage the Board and Board Committee meeting calendar.- Organise Cromwell Property Group securityholder meetings (including the Annual General Meeting).- Coordinate procedural matters for subsidiary companies (for example, annual company statements and solvency resolutions) to ensure compliance with statutory requirements.- Coordinate lodgement of all statutory forms in a timely manner.- Maintain Secretariat registers including for subsidiary companies, unit trusts and material documents.- Coordinate the establishment of new subsidiary companies and unit trusts.- Maintain and coordinate completion of Secretariat annual calendar of deliverables.- Assist the Company Secretary as required with secretariat and corporate governance matters.- Record and maintain Board and Board Committee minutes ensuring all follow-up actions are properly communicated.
