About the Opportunity
Teachers Mutual Bank Limited (TMBL) is undertaking a significant strategic merger with Australian Mutual Bank (AMB), creating one of Australia's leading member-owned banking institutions.
To support this transformation, we are seeking a highly experienced and pragmatic M&A Legal Counsel to play a pivotal role in the legal, regulatory and governance execution of the merger.
This is a hands-on senior legal role, suited to an operator who can lead, advise and execute across all legal workstreams related to the merger, while also providing ad hoc commercial and regulatory advice across the Bank's operations, particularly retail banking.
This is a 12-month fixed-term contract based in Sydney, with hybrid work arrangements,3 days per week in-office; 2 WFH. The role reports to the Chief Legal Officer and will work closely with TMBL's Executive and Board.
Key Responsibilities
Merger Execution (Primary Focus)
- Lead legal workstreams related to the merger of AMB into TMBL, under the Financial Sector (Transfer and Restructure) Act 1999.
- Draft and negotiate transfer documentation and member-related communications.
- Advise on due diligence, transaction structure, and regulatory submissions to APRA, ASIC, and Treasury.
- Assist in coordinating legal inputs for Board, Member and Regulatory approval processes.
- Liaise with external counsel and integration project teams to ensure smooth legal transition and alignment.
Corporate and Regulatory Advisory
- Provide commercial and regulatory legal advice on issues arising across the retail and mutual banking operations.
- Advise on privacy, customer and financial product obligations, corporate governance and licensing impacts of the merger.
- Identify legal risks and compliance obligations related to transitional and post-merger operations.
- Collaborate with Risk and Compliance to ensure a coordinated governance and assurance approach.
Governance and Stakeholder Engagement
- Provide legal input into Board and Committee papers and strategic briefing materials.
- Assist the Company Secretary and CLO in managing corporate governance implications of the merger.
- Prepare advice and draft documentation on director duties, accountability obligations, and legal structure outcomes.
- Engage with regulators, legal advisors and senior executives to ensure alignment of legal strategy with business outcomes.
About You
You are a senior, strategic and hands-on legal professional with the ability to deliver in fast-paced, complex and high-trust environments. You are comfortable with ambiguity, experienced in managing end-to-end transactions, and confident briefing and advising Executives and Boards.
Essential:
- Admitted legal practitioner with unrestricted practising certificate (NSW preferred).
- Minimum 5-15+ years' post-qualification experience, including significant experience in M&A transactions, either in private practice or in-house.
- Strong working knowledge of the Corporations Act, Banking Act, APRA and ASIC frameworks, and other relevant financial services laws.
- Demonstrated ability to lead legal due diligence, transfer documentation, and regulatory submissions.
- Proven experience engaging with regulators and managing external counsel.
- Strong communication skills, including preparation of Board-level materials and regulatory correspondence.
Highly Regarded:
- Experience in mutual banking, customer-owned institutions or cooperative structures.
- Familiarity with the Financial Sector (Transfer and Restructure) Act 1999 (Cth).
- Prior experience working on member schemes, demutualisations, transfers of business, or similar regulatory transitions.
- Governance or company secretarial experience.

Working Model & Remuneration
- 12-month contract, full-time preferred (flexibility for 4 days/week will be considered)
- Based in Sydney: initially Homebush/CBD; relocating to Barangaroo-adjacent office (Shelley St) in November 2025
- Hybrid work model: 3 days in-office preferred; 2 days negotiable prior to November.
