Role

The role of the Legal Counsel and Company Secretary is to provide accurate and timely legal advice and support to our Board. Reporting to the CEO, the role will be responsible for ensuring BSR adhere to the highest standards of corporate governance.

Responsibilities

  • Provide advice to the business regarding a wide range of Commercial and Australian Consumer Law matters
  • Provide high-level support in preparing and distributing board and committee agendas, papers, minutes, and meeting logistics
  • Maintain accurate records of board resolutions, action items, and statutory registers
  • Assist with ASIC filings and ensure ongoing compliance with governance and regulatory obligations
  • Proven experience drafting and maintaining governance policies and procedures
  • Liaise with Directors, Senior Management, and regulatory bodies on governance and compliance matters
  • Support subsidiary governance, shareholder communications, and general meeting preparations
  • Responsible for all matters related to franchise agreements and acquisitions
  • Provide general administrative and corporate governance support

Experience

  • A commercial astute senior lawyer with a minimum of 5 years' post admission experience in a commercial/corporate environment
  • Tertiary qualification in law and holder of current practicing certificate
  • Demonstrated experience as a Company Secretary
  • Demonstrated ability to balance commercial and legal considerations to deliver practical solutions
  • Experience in franchising and acquisitions is preferable
  • Membership with the Australian Institute of Company Directors
  • Strong interpersonal skills, strategic thinking and commercial acumen
