MAP Co is seeking Governance and Compliance Manager, to work collaboratively across all business units to lead the management and implementation of robust governance and compliance systems. This role is also responsible for Board Secretariat, supporting the preparation of high quality and timely advice to the Board and its Committees, and building capability across the organisation in relation to governance and relevant reporting. The Governance and Compliance Manager plays a key leadership role within the Policy, Strategy and Governance team, which has responsibility for Board and Committee secretariat functions, strategic planning, compliance, legal and risk management.

**Organisational Context**
Melbourne Arts Precinct Corporation (MAP Co) is the entity spearheading the Melbourne Arts Precinct Transformation project as well as operating Melbourne's iconic Fed Square.
The $1.7 billion Transformation project is Australia largest ever cultural infrastructure project, and includes the Fox: NGV Contemporary, significant upgrades to Arts Centre Melbourne, and an expansive 18,000 square metre urban garden to be managed and activated by MAP Co.
Fed Square welcomes millions of visitors from all backgrounds each year to experience the best of Melbourne - Art, Music, Design, Food and Sport - in the heart of the city.
Established by the Victorian Government, MAP Co is also responsible for bringing to life a single continuous arts, civic and cultural precinct stretching from Fed Square through to Southbank, NGV and beyond.

**About the Role**
MAP Co is seeking Governance and Compliance Manager, to work collaboratively across all business units to lead the management and implementation of robust governance and compliance systems. This role is also responsible for Board Secretariat, supporting the preparation of high quality and timely advice to the Board and its Committees, and building capability across the organisation in relation to governance and relevant reporting.
The Governance and Compliance Manager plays a key leadership role within the Policy, Strategy and Governance team, which has responsibility for Board and Committee secretariat functions, strategic planning, compliance, legal and risk management.
**Key Accountabilities**
- Delivering high quality Board Secretariat functions including the preparation and circulation of agendas, minutes, actions, Circular Resolutions and any out of session requirements of the Board.
- Developing the annual workplan for the Board to support it in the execution of its duties, including Board performance assessment processes, and supporting the induction of new Board Members and Committee members.
- Advising on and overseeing the delivery of broader Policy, Strategy and Governance team functions, including drafting, review and implementation of organisational policies and processes, Audit and Risk Committee secretariat, and the establishment and governance of other Committees and strategic projects.
- Participating in strategic planning and contributing to strategic decision-making process, including drafting and monitoring implementation of the organisation's Corporate Plan and Business Plan.
- Preparing high level briefing and reporting materials for the Executive to support presentations to internal audiences as well as Board, government and relevant stakeholders, proactively and with limited supervision.
- Maintaining and monitoring MAP Co's Legal Compliance Framework and advising in relation to compliance with statutory obligations, including reporting requirements, annual schedule and attestation processes.
- Leading strategic corporate initiatives, including business improvement projects.
