As an Associate Director within Loan Structuring and Execution you will support the broader Major Client Group (MCG) by structuring and executing complex corporate transactions. In addition, you will ensure transactions are documented consistently with the bank’s requirements, including with internal approvals and policies.

You will report to the Director, Loan Structuring and Execution.

**On any given day you will**:

- Provide transaction structuring advice, and project and stakeholder management for transaction execution.
- Advise and assist the MCG relationship teams to review and negotiate financing documentation, including facility agreements, security documents, intercreditor deeds and legal opinions, with the support of external lawyers.
- Interpret and explain provisions of finance documents to the relationship team and Risk, exercising commercial and professional judgment in negotiations.
- Understand and monitor internal and external developments in relation to corporate banking transactions, including on-going contribution to the development of MCG’s policies and procedures.
- Obtain legal advice from internal Legal Department and/or external counsel, as required.

**Your experience looks like**:

- Solid experience in banking and finance transactions, ideally legally trained with a minimum 5 years PQE gained either in private practice or in-house in a large financial services organisation, however we are open to considering other finance backgrounds which may be suited to this role.
- An in-depth knowledge of corporate banking documentation, including APLMA documentation and other industry standards, Australian loan market terms, and finance documentation generally (including mandate documents, facility agreements, guarantees and security documents).
- Deal structuring experience, including knowledge of credit and risk management principles, policies and procedures.
- Detailed knowledge of the legal and regulatory issues pertaining to complex corporate finance transactions.
- Ability to communicate effectively to explain complex concepts simply and commercially.
