**About this Role**
The Transaction Manager will report directly to the STC Director Tolling. The Transaction Manager is responsible for planning, organising, managing, and coordinating the transaction (i.e., Expressions of Interest (EOI), Request for Proposals (RFP) and Tender Award) activities and outcomes for the procurement of the TCC (Toll Collection Capability) project. Once the contract has been awarded, the role will be responsible for the contract management functions to ensure STC’s interests are managed through the delivery phases of the TCC project.
The Transaction Manager plays a pivotal part throughout the procurement and delivery phases. This includes managing a transaction team (advisors) to prepare transaction plans, documents, and reports together with coordinating key inputs from TCC technical, business, legal and commercial teams.
As a senior member of the tolling team, the Transaction Manager will play a key role and directly drive the success of the TCC project and STC’s capability to collect revenue.

**Key Accountabilities**
- Manage end-to-end TCC procurement transactions, overseeing planning, implementation, governance, processes, and resources.
- Employ a structured approach to handle transaction activities, from Expressions of Interest (EOIs) to Contract Award, including associated evaluations and commercial negotiations.
- Develop and oversee commercial and contractual documents for TCC solution delivery, operations, and maintenance, ensuring compliance with government processes.
- Provide strategic guidance to the Director Tolling and project team in planning and contract development for the transaction function.
- Plan and execute TCC procurement processes, establishing a detailed program, governance structure, and methodologies for tender management.
- Lead market engagement for transaction functions, including industry briefings, EOIs, RFPs, and contract negotiation activities.
- Coordinate project documentation preparation, engaging with government policy areas and expert advisers for transaction/tender/contract policies.
- Prepare and execute EOIs and RFPs, ensuring evaluation plans and reports are approved by relevant authorities and probity advisor.
- Compile issues lists, identifying design, technical, commercial, financial, legal, and other matters for resolution during the EOI, RFP, and contract negotiation phases.
- Support project governance, including involvement in the Project Steering Committee and DTF High Value High Risk Framework processes.
- Stay informed about emerging transaction, contractual, and regulatory trends, recommending improvements based on identified issues.
- Collaborate with Tolling Director and Project Manager to anticipate and address potential risks in TCC procurement, contracting, and delivery.
- Provide leadership guidance, make recommendations, and collaborate with stakeholders to ensure the TCC solution meets business needs.
- Represent STC's interests to government and private sector stakeholders in TCC procurement matters.
- Establish and maintain mechanisms for continuous improvement, incorporating lessons learned into TCC procurement, contracting, delivery, and operation
**Important Information**
The STC is a statutory body that is funded by the Victorian Government and governed by an independent board. The board is responsible for providing strategic direction and ensuring that STC achieves its objectives and carries out its functions. The board is accountable to the Treasurer and the Deputy Premier / Minister for Transport and Infrastructure.
