We are seeking a Corporate and Commercial Lawyer to join our team in Sydney. This is a fantastic opportunity to work alongside a highly regarded Partner leading the NSW branch of the China Desk and be involved in significant international and domestic M&A matters.

Job Description

This role involves advising on domestic and international corporate/M&A transactions, including due diligence, drafting, and negotiating acquisition and disposal documents. You will also manage cross-border transactions, joint ventures, and foreign investment regulatory approvals (including FIRB). Additionally, you will advise on corporate governance, corporate restructuring, licensing, and general contracting arrangements.

You will collaborate with the Partner and senior lawyers on complex, high-value matters. Your responsibilities will include building strong client relationships with listed companies, insurers, financial institutions, private equity-backed businesses, capital providers, and large private companies.

You will supervise, mentor, and support junior lawyers within the team. To succeed in this role, you must have a minimum of 5 years' post-admission experience in corporate & commercial law, ideally within a large national or international firm.

Required Skills and Qualifications

To be eligible for this role, you must have:

  • Demonstrated expertise in M&A transactions, including due diligence, drafting, and negotiating acquisition and disposal documents.
  • Experience advising on corporate governance, restructuring, and regulatory approvals (including FIRB).
  • Strong technical, analytical, and drafting skills with excellent attention to detail.
  • Proven ability to manage complex domestic and international corporate matters while building strong client relationships.
