Job Description

Greenfields Executive Recruitment & Search is seeking a highly experienced and skilled Chief Legal Officer to join our client's team. As a key member of the senior executive team, the successful candidate will be responsible for providing strategic legal and governance advice to the Board and senior management.

Key Responsibilities
  • Provide leadership and direction to the legal and governance team, ensuring high-quality service delivery and driving continuous improvements in legal risk and governance management.
  • Counsel and advise management and directors on the legal, regulatory, and compliance aspects of business activities.
  • Negotiate, draft, and settle contracts and other legal agreements with external legal advisers.
  • Drive improvements to processes and systems for contract approvals, execution, and retention.
  • Member of the Management's Enterprise Risk Committee and attendee at other management committee meetings.
  • Statutory responsibility as an Officer and Responsible Person.
  • Compliance with relevant prudential and regulatory disclosure requirements.
  • Key contact and support to the Chair, individual Directors, and Board as a whole.
  • Provide secretarial support and advice for all Board and Board Committee meetings.
  • Review and monitor Board governance and advise on Charters.
  • Anticipate shareholder needs and challenges from a corporate governance or company secretary perspective and advise the Board accordingly.
  • Manage the Group's insurance requirements.
  • Accountable for managing Legal, Secretariat, and Board expense budgets.
Requirements
  • Qualified Solicitor admitted to practice in Australia, with at least 10 years' experience and a current unrestricted NSW practicing certificate.
  • AICD or Governance Institute of Australia qualification (or equivalent) completed or in progress.
  • Deep understanding of the financial services legislative and regulatory environment and corporate law expertise.
  • Experience of managing a corporate legal team and company secretariat function.
  • Experience in driving continuous improvements to legal risk and governance management without compromising technical quality.
  • Sound commercial attitude towards legal issues and ability to influence through clear and concise written and verbal communications.
