Job Description

We are seeking a highly organised professional to support the enablement of the Board in fulfilling its governance functions and facilitating optimum performance.

The Board Secretary will be responsible for advising and guiding the Board on legal responsibilities, duties, and obligations in good corporate governance.

This includes ensuring compliance with relevant legislation, maintaining required registers, and lodging reports.

The successful candidate will also be responsible for overseeing efficient record-keeping and maintenance of Board and Committee documents and registers.

In addition, they will drive review, update, monitor, and compliance of the Board's corporate governance framework, standards, and policies.

Key Responsibilities:

  1. Advise and guide the Board on legal responsibilities, duties, and obligations in good corporate governance.
  2. Ensure compliance with relevant legislation, including maintaining required registers and lodging reports.
  3. Oversee efficient record-keeping and maintenance of Board and Committee documents and registers.
  4. Drive review, update, monitor, and compliance of the Board's corporate governance framework, standards, and policies.
  5. Coordinate timely preparation and completion of Board papers, agendas, minutes, and forward plans.
  6. Proactively drive meeting conduct and directorial obligations, including managing conflicts of interest and private interests.

Required Skills and Qualifications:

The ideal candidate will have strong communication and interpersonal skills for liaison and consultation with Directors, Executives, and key stakeholders.

They will also have highly developed writing skills with attention to detail and ability to prepare concise summary documentation.

A thorough understanding of relevant legislation and competency in Board paper electronic platforms, such as Diligent for Boards, is also essential.
