Job Overview:
The Board Governance Specialist is a key role responsible for supporting the enablement of the Board to fulfill its governance functions and facilitate optimum performance.
Key Responsibilities:
- Advise and guide the Board and its Committees on legal responsibilities, duties, and obligations in good corporate governance.
- Maintain compliance with the Corporations Act 2001 and Public Administration Act 2004, including proper maintenance of required registers, notification of required information, and lodgement of reports as required.
- Create and oversee efficient record-keeping and maintenance of all Board and Board Committee documents and registers as required by law.
- Drive and oversee review, update, monitor, and compliance of the Board's corporate governance framework, standards, and policies.
- Coordinate and facilitate timely preparation, completion, and dispatch of Board and Committee papers, agendas, minutes, and forward plans.
- Proactively drive and assist Chair and Directors in conduct of meetings and directorial and governance obligations and responsibilities.
- Manage annual board calendar process and associated meetings, taking into account legislative changes, regulatory reporting, and approvals.
Requirements:
- Detailed knowledge of Director and Board Secretary accountabilities, including governance, risk mitigation, integrity, compliance, and privacy.
- Experience and understanding of the Corporations Act 2001 and OH&S Legislation.
- Strong communication and interpersonal skills, including liaison and consultation with Directors, Chief Executive, Executives, management, government agencies, ministers, and external advisors.
- Highly developed writing skills, with strong attention to detail and ability to prepare concise summary documentation.
- Membership of the Australian Institute of Company Directors or similar.
