Job Overview:

A high-achieving Corporate Governance Officer is required to provide expert advice and support to our peak governance bodies, ensuring effective decision-making processes.

The successful candidate will work closely with the broader team, facilitating governance best practices and ensuring compliance with regulatory requirements.

This is a full-time role based in Melbourne or Sydney, offering flexible work options to suit your lifestyle.

Key Responsibilities:
  • Serve as a Company Secretary for various proprietary limited companies, maintaining corporate registers and records.
  • Evaluate and ensure compliance with the Corporations Act, including submission of documents to ASIC.
  • Coordinate board meetings, prepare agendas and distribute meeting materials.
  • Attend board meetings and produce accurate minutes and actions.
  • Support internal transactions, including document approval and execution.
  • Liaise with internal teams as needed.
  • Maintain the Group's structure chart and update as required.
Qualifications:
  • Demonstrated experience in enabling effective governance in a complex environment.
  • Relevant qualifications in Business, Law, Corporate Governance or a related discipline.
  • High integrity and discretion when handling confidential information.
  • Comprehensive knowledge of the Corporations Act and ASIC requirements.
  • Ability to manage multiple stakeholders and competing priorities.
  • Strong interpersonal skills and enthusiasm to engage with individuals across the Firm.
  • Detailed understanding of corporate structures and their operation.
