The Governance Advisor will be responsible for assisting the Company Secretary in managing governance processes, ensuring compliance with legal and regulatory requirements.
This role involves overseeing day-to-day activities associated with Director Elections, Annual General Meetings, and annual reporting, while maintaining effective communication with stakeholders.
Key responsibilities include ensuring adherence to ASIC, APRA, and other legal requirements, as well as coordinating Board and Committee meetings.
Maintaining charters, policies, and corporate records is also a key duty of the position.
Key Responsibilities:- Governance: Ensure compliance with legal and regulatory obligations.
- Regulatory Compliance: Maintain charters, policies, and corporate records, and ensure adherence to ASIC, APRA, and other legal requirements.
- Oversight: Manage the day-to-day activities associated with Director Elections, Annual General Meetings, and annual reporting.
- Board and Committee Meetings: Oversee the coordination of Board and Committee meetings.
This role is ideal for a legally qualified company secretary with a Bachelor of Law (or similar) and governance qualifications from the Governance Institute of Australia and/or AICD.
A strong understanding of the Corporations Act and APRA prudential standards is essential.
Candidates should have at least 5+ years' experience as an Appointed Company Secretary of a highly regulated company and 3+ years' experience as a corporate lawyer or financial services lawyer.
Experience in developing and implementing governance policies, processes, and procedures is also desirable.
