Job Description

An exciting opportunity has arisen for a skilled and experienced professional to join our team as an Assistant Company Secretary.

The successful candidate will be responsible for ensuring the company, subsidiaries, and joint venture boards comply with relevant legislations, including the ASX Listing Rules and the Corporation Act.

Main Responsibilities:

  • Maintaining various corporate registers, including subsidiary corporate registers, securities trading, political donations, other directorships, gifts, and benefits.
  • Managing legal entity charts and data.
  • Ensuring entity compliance and lodgment obligations are met.
  • Assisting with the development, implementation, and review of charters, policies, procedures, and guidelines.
  • Developing and facilitating governance-related training and communication materials.
  • Supporting Treasury with the preparation of Board papers, approvals, minutes, and other documentary requirements.
  • Working with Finance in respect of the lodgment of subsidiary statutory accounts with relevant regulators, including preparation of approvals, minutes, and other documentary requirements.
  • Collaborating with business units on bid and tender queries, including completion of questionnaires and tailored organisational chart extracts.
  • Assisting with acquisitions, disposals, and liquidations.
  • Responsible for the financial reporting verification process, including assisting with listed company matters as required, annual report disclosures, annual general meeting materials, dividends, and ad-hoc projects and initiatives.
  • Maintaining systems and portals to ensure appropriate governance across all entities in the group, including regulatory portals and entity management software.

Required Skills and Qualifications:

  • Bachelor of Laws or Bachelor of Commerce degree (suitable but not essential).
  • Corporate Governance qualification or intention to complete strongly preferred.
  • 3+ years' experience in a governance environment.
  • Knowledge of legal terms.
  • Highly organised, with an ability to manage competing priorities and meet deadlines in a fast-paced environment.
  • Able to ensure compliance with the ASX Listing Rules and the Corporations Act.
  • Strong Administration skills.
  • Competent with technology and systems.
  • Corporate governance knowledge.

Benefits:

  • 38 hours per week.
  • 3-6 month assignment.
  • $57+ per hour, depending on experience + Superannuation.
