Corporate Lawyer - Governance and Transactions Specialist

This is a unique opportunity to embed yourself in a dynamic business environment where your legal expertise will directly support strategic growth, market expansion and governance excellence.

As In-House Corporate Counsel, you'll partner closely with a high-calibre leadership team, delivering commercially focused legal support across transactions, governance, contracts and regulatory matters. You'll gain meaningful exposure to Board-level decision-making and play a key role in shaping strategic initiatives and governance frameworks, all within a supportive, down-to-earth culture that values integrity, initiative and practical solutions.

The ideal candidate will have solid grounding in M&A and corporate governance from either private practice or a listed in-house environment, along with a strong working knowledge of the Corporations Act and ASX Listing Rules. They will be able to distil complex legal issues into clear, commercially pragmatic advice for senior executives.

Responsibilities:

  • Provide end-to-end legal support on corporate transactions including acquisitions, divestments, capital initiatives, joint ventures and shareholder matters.
  • Advise on directors' duties, corporate structures and ASX disclosure obligations, partnering closely with the Company Secretariat, Finance, and Strategy teams.
  • Draft, negotiate and review a range of corporate and commercial agreements, balancing legal risk with business objectives.
  • Contribute to Board and committee reporting on governance and regulatory issues, ensuring compliance with ASX Listing Rules and governance standards.
  • Assist with key projects such as policy development, the annual general meeting, and investor engagement initiatives.

Requirements:

  • 6+ years' PQE in corporate law, with solid grounding in M&A and corporate governance from either private practice or a listed in-house environment.
  • Strong working knowledge of the Corporations Act and ASX Listing Rules.
  • Ability to distil complex legal issues into clear, commercially pragmatic advice for senior executives.
  • Collaborative approach with a knack for building trusted relationships across the business.
