Company Secretary Job Overview

The Company Secretary is a critical role within our organization, responsible for ensuring compliance with legal and regulatory requirements.

This position requires exceptional organizational and communication skills, as well as the ability to maintain confidentiality and handle sensitive information effectively.

  • Manage corporate governance practices and ensure transparency and accountability.
  • Prepare and distribute meeting agendas, minutes, and reports for board and committee meetings.
  • Provide guidance on corporate governance best practices and advise on risk management issues.
  • Maintain statutory registers and file documents with regulatory bodies in a timely manner.
  • Coordinate annual general meetings and other shareholder gatherings.

Key Responsibilities:

  • Ensure company compliance with relevant legislation and regulations.
  • Develop and implement effective governance procedures.
  • Provide support to the board and management team on corporate governance matters.

Required Skills and Qualifications:

  • Degree in Business Administration or related field.
  • Formal qualification as a Company Secretary (desired but not essential).
  • Proven experience in a similar governance role (preferably in Australia).
  • In-depth knowledge of corporate governance principles and compliance regulations.
  • Strong organizational and communication skills, with attention to detail and problem-solving abilities.
  • Proficiency in using governance software and Microsoft Office Suite.
