We are seeking a highly skilled and experienced Assistant Company Secretary to join our team. The successful candidate will play a vital governance and compliance role within the organization, supporting the Company Secretariat Function in meeting all corporate, legal, and regulatory obligations.
The Assistant Company Secretary is responsible for coordinating the efficient operation of the Board and its Committees, providing corporate governance support to senior management, and upholding the organization's commitment to strong corporate governance.
Key responsibilities include:
- Assisting with compliance obligations under the Corporations Act 2001, ASX Listing Rules, ASIC requirements, and other global regulatory frameworks relevant to the organization's operations.
- Maintaining statutory registers, minute books, and corporate governance records with meticulous attention to detail.
- Supporting the preparation and lodgment of ASX announcements, board resolutions, and ASIC filings in accordance with regulatory timeframes.
- Assisting in drafting and compiling the Annual Report, AGM documentation, and Corporate Governance Statement.
- Contributing to the development, implementation, and maintenance of governance policies, charters, and procedures.
Key qualifications and experience include:
- A professional qualification or progress toward qualification from the Governance Institute of Australia or equivalent.
- 3+ years of experience in company secretarial, governance, legal, or compliance roles.
- Experience within an ASX-listed environment is highly regarded.
- Knowledge of the Corporations Act, ASX Listing Rules, and corporate governance principles.
- Understanding of board operations and governance frameworks.

- Excellent written and verbal communication abilities.
- High level of integrity, confidentiality, and professional ethics.
Key relationships include:
- Internal: Company Secretary, Board of Directors, CEO, Executive Leadership Team, Legal Team, Finance Team.
- External: May include ASIC, ASX, Share Registry, External Auditors, Legal Advisors.
Performance indicators include:
- Accuracy and timeliness of governance documentation and filings.
- Quality of board and committee support materials.
- Contribution to governance framework improvements.
- Effectiveness in supporting compliance with regulatory requirements.
Our ideal candidate will possess a professional qualification or be progressing toward qualification from the Governance Institute of Australia or equivalent. They will also have 3+ years of experience in company secretarial, governance, legal, or compliance roles.
