Job Overview

The role of the Legal Counsel and Company Secretary is to provide accurate and timely legal advice and support. This involves working closely with the Board and senior management team to ensure adherence to the highest standards of corporate governance.

Key Responsibilities
  • Provide expert legal advice on a wide range of commercial and Australian Consumer Law matters.
  • Support the preparation and distribution of board and committee agendas, papers, minutes, and meeting logistics.
  • Maintain accurate records of board resolutions, action items, and statutory registers.
  • Assist with ASIC filings and ensure ongoing compliance with governance and regulatory obligations.
  • Draft and maintain governance policies and procedures.
  • Liaise with directors, senior management, and regulatory bodies on governance and compliance matters.
Requirements
  • A commercial astute senior lawyer with a minimum of 5 years' post admission experience in a commercial/corporate environment.
  • Tertiary qualification in law and holder of current practicing certificate.
  • Demonstrated experience as a Company Secretary.
  • Demonstrated ability to balance commercial and legal considerations to deliver practical solutions.
