Chief Governance Officer

We are seeking an experienced and skilled Company Secretary to join our team. As a senior role within the organisation, you will be responsible for providing guidance and support to our Board and Board Committees.
This is a permanent, part-time (0.8 FTE) role located in East Melbourne with a competitive salary and excellent NFP salary packaging benefits. You will work closely with the Board Chair EA, Executive Officer, and CEO to ensure seamless day-to-day operations.
Key Responsibilities:
- Conduct annual Board reviews and organise Board off-site forums to ensure effective governance and decision-making.
- Set up and attend all Board meetings, Sub Committee meetings, and advisory meetings to maintain accurate records and ensure timely distribution of minutes.
- Maintain up-to-date knowledge of legal, regulatory, and other changes that may impact VMCH's corporate governance approach.
- Prepare accurate and timely Board minutes, reports, and briefing notes to support informed decision-making.
- Provide governance support to the Board and senior leadership, offering advice on corporate governance and risk management.
- Maintain statutory registers and records, ensuring accurate and timely filing of documents with regulators.
- Distribute Board papers promptly and efficiently.
- Coordinate Board retreats and planning days, including catering arrangements.
- Proofread and format reports, ensuring high-quality output.
- Provide briefing notes to the CEO and Chair, ensuring they are well-informed and prepared for meetings.
- Orient new Board members to ensure a smooth transition and effective integration.
About You
To succeed in this role, you will have relevant tertiary qualifications in governance, business, or a related field. A Membership of Governance Institute of Australia or Equivalent is also required.
You will have extensive experience in a company secretarial function within a regulated industry/sector, ideally in a not-for-profit context. Your outstanding communication and interpersonal skills will enable you to work effectively with Board members and senior stakeholders.
You must be highly organised and proactive, with the ability to maintain focus and motivation for critical compliance and administrative tasks. Excellent written communication and analytical/numerical skills are essential, as well as a demonstrated ability to think critically, interpret and present insights from data, and provide proactive solutions.
Your attention to detail is second to none, and you have a continuous improvement mindset.
