**About the role - **0.8 FTE Part-Time Ongoing**

Baptist Care SA has an exciting opportunity for a Manager, Corporate Governance & Risk, to work with the Board of Directors, Chief Executive Officer and liaison with external providers. This is a critical role within the organisation that underpins sound governance and strategic leadership.

As our Manager, Corporate Governance & Risk, you will provide support and advice of sound corporate governance and compliance for Baptist Care SA and the Baptist Care (SA) Foundation. You will proactively contribute to the efficiency and effectiveness of the CEO's office by drawing upon your comprehensive experience of contemporary corporate governance practices.
- Your duties include but are not limited to:_
- Provide corporate governance advice and support to the Board Chairs of Baptist Care SA and the Baptist Care (SA) Foundation
- Liaison between the CEO and Chairs of Boards and Committees to ensure accurate preparation of agendas, minutes and associated papers within agreed timeframes
- Manage end to end preparation for all Board and Board Committee meetings
- Actively managing corporate governance planning systems associated with strategic and business planning, maintaining a 12-month rolling governance calendar
- Overseeing the due diligence processes in respect to the execution of corporate contracts, agreements, completion and lodgement of statutory forms etc
- Stakeholder engagement including consulting with external parties and specialists, other organisations

**About you**:

You will be a self-directed individual who is able to manage various deadlines and competing priorities. A consummate team player, you will be highly organised and approachable, with the ability to build and develop strong internal and external relationships.

You will also have the following skills and experience:

- Degree or higher qualification in relevant fields such as law and business
- Extensive knowledge of corporate governance practices, rules and regulations including the Corporations Act, relevant Federal and State legislation and regulatory compliance requirements for Not-For-Profit organisations
- Strong written and verbal communication skills with the ability to build and sustain positive working relationships with internal and external stakeholders
- The ability to work autonomously in a self-directed manner, prioritising as appropriate and managing various deadlines and priorities
- Strong problem-solving skills

You will be required to have, or be willing to obtain:

- Full unrestricted South Australia Driver's Licence
- DHS Child-Related Employment Screening or Working With Children check
- National Police Clearance
- Training: Secure Environments for Children and Young People (or willingness to obtain)
- Ability to work outside of normal office hours may be required
- Travel within South Australia and interstate may be required
- To be considered for employment with Baptist Care SA, you must have an up-to-date Covid 19 Vaccination status or be able to provide an appropriate medical exemption.
