About the Role and Team - Corporate Lawyer

The Corporate Lawyer, is a key part of ASL's Legal and Company Secretariat team and a critical part of ASL's success. It is a key advisor and partner to the business, closely involved in the delivery of major projects, and the management of legal risk, across the organisation.

This role works closely with ASL's senior lawyers and with the wider organisation, including its leadership in addition to key stakeholders within AEMO, the Government and wider industry as the needs arise. This position requires strong legal and commercial analytical skills, diligence and attention to detail, and the ability to communicate effectively with stakeholders at all levels. You will have significant opportunity to shape, build and implement major cross-jurisdictional energy policy that will be integral to Australia's energy transition.

Core Responsibilities:

  • Advising on, and assisting senior lawyers leading, legal aspects of ASL's key functions, including design and management of CIS and EII Act tenders and regulatory decision-making. Examples of tender-related work includes:

  • Preparing external tender process documents, such as tender guidelines/rules, market briefings, bid forms, process deeds

  • Advising on tender products / contracts (electricity derivatives, development agreements and related agreements
  • Preparing internal tender governance documents
  • Supporting and advising assessment and investment committee personnel across a range of activities relating to conducting tenders – for eg, participant Q&A, communications and briefings, tender process deed review, assessment and reporting of legal aspects of bids, legal due diligence, tender process compliance review, recording of committee decisions in accordance with mandatory requirements, contract finalisation
  • Ensuring that tenders are conducted in accordance with legal requirements, as a part of overarching assurance processes
  • Providing legal advice on legal issues affecting ASL, including interpretation of laws and regulations, preparation of internal resources to aid the business in legal compliance, general corporate governance and compliance. Examples of laws that may be relevant include the Electricity Infrastructure Investment Act 2020 (NSW), National Electricity Law and Rules, Electricity Industry Act 2004 (WA), contract law, common law principles of administrative decision-making, Corporations Act 2001 (Cth), Public Governance, Performance and Accountability Act 2013 (Cth).
  • Reviewing and advising on contracts that ASL enters into in the course of doing business
  • Reviewing external publications
  • Running and managing procurement process for external legal engagements
  • Preparing and maintaining internal Legal Team knowledge and precedent resources
  • Advising and supporting on corporate compliance and governance processes, including company secretarial functions and compliance with ASL's constituent documents and Corporations Act 2001 requirements
  • Aiding with or providing legal sign-off in accordance with ASL's governance frameworks
  • Representing ASL with external stakeholders and parties
  • Other legal tasks and services that arise in the course of ASL's business, which will include legal advice to other divisions in ASL (Commercial; System Planning and Financial Markets; Risk, Compliance and Audit; Business Operations; Corporate Affairs & Social Value)

About You & the Role Requirements:

  • Bachelor of Laws / Juris Doctor
  • Current practising certificate with eligibility to practice law in New South Wales
  • At least three years post-admission experience
  • Experience working on complex and high value commercial transactions
  • Experience advising on electricity project matters or energy laws and rules will be favourable
  • Experience with tender processes (private sector or government sector) will be favourable
