ROLE SUMMARY
As
Group Company Secretary
you will play a pivotal role in supporting the Group General Counsel, Board, co-CEO's, and executive leadership team (ELT) to ensure the Group meets its statutory, corporate governance, and regulatory obligations under the relevant law and, regulations including the Corporations Act, ASX Listing Rules, and company constitution.
This is a hands-on role requiring both strategic insight and operational discipline, suited to someone comfortable operating in a dynamic, fast paced, entrepreneurial environment.
KEY RESPONSIBILITIES
Board and Governance Support
- Along with the Group General Counsel, act as advisor to the Board and Committees on governance matters, ASX obligations, and corporate best practice.
- Manage preparation, collation, and timely distribution of Board and Committee papers, agendas, and minutes.
- Ensure efficient conduct of Board and Committee meetings (including hybrid/virtual formats).
- Maintain statutory registers, minute books, and corporate records.
- Support director induction, annual evaluations, and ongoing governance training.
- Manage subsidiary board matters across various jurisdictions working with outsourced local advisors as required.
ASX and Regulatory Compliance
- Ensure ongoing compliance with
ASX Listing Rules
,
Corporations Act 2001
, and ASIC requirements.
- Prepare and lodge ASX announcements, Appendix filings, and continuous disclosure documents.
- Maintain the company's Disclosure Policy and manage market communication protocols.
- Oversee the management of share capital changes, employee equity plans, and investor communications.
- Ensure subsidiary board compliance across various jurisdictions working with outsourced local advisors as required.
Corporate Governance and Risk
Work with the Group General Counsel and Risk and Compliance team to:
- Develop and implement governance frameworks, charters, and policies.
- Support risk management, internal control, and compliance frameworks.
- Ensure alignment with ESG, sustainability, and corporate reporting expectations for ASX-listed entities.
Stakeholder Management
- Liaise with ASX, ASIC, share registry, legal advisors, auditors, and key external stakeholders.
- Work closely with the Group General Counsel, CEO & CFO on strategic and transactional activities (e.g., capital raisings, M&A, or re-structures).
- Support shareholder meetings, including AGM/EGM logistics, notice drafting, and proxy management.
**QUALI
FICATIONS
AND EXPERIENCE**
- Tertiary qualifications
in Law, Corporate Governance, Business, or related discipline.
- Member (or eligibility for membership)
of the Governance Institute of Australia (FGIA/AGIA) or equivalent.
- Demonstrated experience in a
listed company environment
(ideally ASX tech or growth-stage).
- Strong working knowledge of ASX Listing Rules, Corporations Act, and governance best practice principles.
- Excellent written and verbal communication skills, with proven Board-level reporting experience.
- High attention to detail, sound judgment, and discretion with confidential information.
- Comfort operating in a fast-paced, evolving start-up culture with hybrid work arrangements.
