Senior Legal Corporate Counsel – Dubai (8+ PQE) (Private Equity, JVs, M&A)

Our client, headquartered in Dubai, is a forward-thinking real estate group leading the integration of proptech innovations. The business is driving transformative growth through targeted acquisitions, mergers, and investments in cutting-edge technologies, establishing itself as a key player in the evolving landscape of smart real estate ecosystems. Its portfolio deliberately emphasises tech-enabled ventures, incorporating AI-driven building intelligence and blockchain for secure, efficient transactions.

Fuelled by agile corporate strategies and technological disruption, the group now seeks an outstanding corporate lawyer to excel in advising on high-stakes M&A, joint ventures, compliance, and innovation governance.

Reporting to a highly experienced Head of Legal, you will provide legal support across domestic and international corporate matters.

Key responsibilities include:

  • Overseeing the legal structuring and negotiation of transactions involving third-party private equity investments, bank financing, and proprietary equity, ensuring compliance with all regulatory requirements.
  • Developing and negotiating joint venture documentation for collaborations across corporate operations.
  • Providing strategic legal counsel on private equity inflows from third-party investors, integrating them with bank and proprietary financing structures to optimise deal terms, risk allocation, and investor protections in high-volume transaction environments.
  • Ensuring ongoing corporate governance, regulatory compliance, and risk management for the company's core operations—including fintech, proptech, and asset management activities—while supporting scalable growth in a dynamic market.
  • Assisting in mergers and acquisitions, including due diligence, deal structuring, and post-acquisition integration.
  • Drafting and reviewing legal documents for asset management operations, including fund structures, investor agreements, and compliance with securities laws, in coordination with bond market raises and private equity integrations.
  • Identifying and mitigating legal risks across combined private equity, bank, and proprietary equity structures, ensuring seamless execution of large-scale deals while advising on dispute resolution and contractual enforcement in joint ventures and corporate partnerships.

Ideal Candidate

We are seeking a candidate who brings:

  • 8+ years' experience as a lawyer within a leading corporate team.
  • Strong expertise in general corporate law, joint ventures, private equity, and M&A
  • Excellent written and verbal communication skills.
  • A proactive work ethic and agile working style.
